ACCEPTANCE OF THE TERMS OF USE
Thank you for using VIPreadaloud.org (the "Website"). Our Website is provided by Foundation
For The Carolinas ("FFTC"), a 501(c)(3) public charity, located at 220 N. Tryon Street, Charlotte,
NC 28202. By using this Website you agree to these Terms of Use ("Terms of Use" or "Terms"),
which govern your access to and use of the Website, including any content, functionality, and
services offered on or through our Website. Please read these Terms carefully before you start
using the Website. By using the Website you accept and agree to be bound and abide by these
Terms and our Privacy Policy. If you do not want to agree to these Terms or the Privacy Policy,
you must not access or use the Website.
USING OUR WEBSITE
The Website provides a read aloud planning template, instructional videos, and supporting
guidance. You do not need to create an account or provide any personal information to use it.
The Website does not store the plans you create. Anything you enter into the planning template
exists only in your browser for the duration of your visit. To keep your work, you must download
it to your own computer or device. We are not able to recover, restore, or retrieve a plan for you,
and we are not responsible for any plan or other work product that is lost, including work lost
because a browser tab is closed or refreshed, a session times out, a device fails, or the Website
is unavailable. You are solely responsible for saving and backing up your own work. Please also
note that you can reopen a saved plan file from your own device to continue editing it on the
Website. The file is read in your browser and is not sent to us or stored by the Website. We
reserve the right to withdraw or amend this Website, and
any service or material we provide on the Website, in our sole discretion without notice. We will
not be liable if for any reason all or any part of the Website is unavailable at any time or for any
period. From time to time, we may restrict access to some parts of the Website, or the entire
Website, to users.
INTELLECTUAL PROPERTY RIGHTS
Using our Website does not give you ownership of any intellectual property rights in our Website
or the content you access. You may not use content (such as text, graphics, photographs, video,
audio, features, code, displays, images, and other data or information relating to any subject)
("Content"), that is protected by copyrights, trademarks, trade secrets, or other proprietary
rights, which are owned by FFTC, its licensors, or other providers of such material, and are
protected in all forms, media and technologies existing now or hereinafter developed, from our
Website unless you obtain permission from its owner or are otherwise permitted by law. These
Terms do not grant you the right to use any branding or logos used on our Website. Don't
remove, obscure, or alter any legal notices displayed on our Website. The Website and its entire
contents, features, and functionality (including but not limited to all information, software, text,
displays, images, video, and audio, and the design, selection, and arrangement thereof) are
protected by United States and international copyright, trademark, patent, trade secret, and
other intellectual property or proprietary rights laws. Unless permitted by the fair use privilege
under the U.S. copyright laws (see, e.g., 17 U.S.C. Section 107), or expressly permitted in the
section titled "Using the Planning Template" below, you must not reproduce, distribute, modify,
create derivative works of, publicly display, publicly perform, republish, download, store, or
transmit any of the material on our Website, except as follows: Your computer may temporarily
store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display
enhancement purposes. You may print or download a copy of a reasonable number of pages of
the Website for your own use and not for further reproduction, publication, or distribution. Modify
copies of any materials from this site, except that you may complete the planning template as it
is designed to be completed. Delete or alter any copyright, trademark, or other proprietary rights
notices from copies of materials from this site. You must not access or use for any commercial
purposes any part of the Website or any services or materials available through the Website. If
you print, copy, modify, download, or otherwise use or provide any other person with access to
any part of the Website in breach of these Terms of Use, your right to use the Website will stop
immediately and you must, at our option, return or destroy any copies of the materials you have
made. No right, title, or interest in or to the Website or any content on the Website is transferred
to you, and all rights not expressly granted are reserved by FFTC. Any use of the Website not
expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate
copyright, trademark, and other laws.
USING THE PLANNING TEMPLATE
The read aloud planning template is offered to educators and community organizations who
would like to use the template to plan a VIP Read Aloud to use with students. Subject to these
Terms, and provided you keep all copyright and attribution notices intact, you may: Complete
the planning template on this Website and download, save, and print the plans you create. Use
the plans you create in your own classroom, program, home, or setting. Share a blank copy of
the downloadable template, or a plan you have created, with colleagues, co-teachers, families,
and program staff for non-commercial educational purposes. Reference the template in
professional development or coaching you provide, with attribution to Read Charlotte. Sell,
license, or charge a fee for the template, for plans built from it, or for access to either. Include
the template or its content in a product, curriculum, subscription, or service that is offered for
sale. Remove Read Charlotte or Foundation for the Carolinas branding, attribution, or copyright
notices from the template. Present the template, or a modified version of it, as your own work or
as endorsed by Read Charlotte or Foundation for the Carolinas without our written permission.
The plans and lesson content you write into the template are yours. We do not receive them,
store them, or claim any rights in them.
TRADEMARKS
The FFTC name, the FFTC logo, the Read Charlotte name and logo, and all related names,
logos, product and service names, designs, and slogans are trademarks of FFTC or its affiliates
or licensors. You must not use such marks without the prior written permission of FFTC. All
other names, logos, product and service names, designs, and slogans on this Website are the
trademarks of their respective owners.
PROHIBITED USES
You may use the Website only for lawful purposes and in accordance with these Terms of Use.
You agree not to use the Website: In any way that violates any applicable federal, state, local, or
international law or regulation (including, without limitation, any laws regarding the export of
data or software to and from the US or other countries). For the purpose of exploiting, harming,
or attempting to exploit or harm minors in any way by exposing them to inappropriate content,
asking for personally identifiable information, or otherwise. To transmit, or procure the sending
of, any advertising or promotional material without our prior written consent, including any "junk
mail," "chain letter," "spam," or any other similar solicitation. To impersonate or attempt to
impersonate FFTC, Read Charlotte, a FFTC employee, another user, or any other person or
entity (including, without limitation, by using email addresses associated with any of the
foregoing). To engage in any other conduct that restricts or inhibits anyone's use or enjoyment
of the Website, or which, as determined by us, may harm FFTC or users of the Website, or
expose them to liability. Additionally, you agree not to: Use the Website in any manner that could
disable, overburden, damage, or impair the site or interfere with any other party's use of the
Website. Use any robot, spider, or other automatic device, process, or means to access the
Website for any purpose, including monitoring or copying any of the material on the Website.
Use any manual process to monitor or copy any of the material on the Website, or for any other
purpose not expressly authorized in these Terms of Use, without our prior written consent. Use
any device, software, or routine that interferes with the proper working of the Website. Introduce
any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or

AGE OF USERS
The Website and services are directed towards adults. Individuals under the age of 16 are not
permitted to use our Website without the supervision of a parent, legal guardian, or educator.
Furthermore, we do not knowingly collect or solicit personal information from children under the
age of 16. Should we learn that someone under the age of 16 has provided any personal
information to or on our Website, we will remove that information as soon as possible.

INDEMNIFICATION

providers, and its and their respective officers, directors, employees, contractors, agents,
licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages,
judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees)
arising out of or relating to your violation of these Terms of Use or your use of the Website, or
your use of any information obtained from the Website.
GOVERNING LAW AND JURISDICTION
All matters relating to the Website and these Terms of Use, and any dispute or claim arising
therefrom or related thereto (in each case, including non-contractual disputes or claims), shall
be governed by and construed in accordance with the internal laws of the State of North
Carolina without giving effect to any choice or conflict of law provision or rule (whether of the
State of North Carolina or any other jurisdiction). Any legal suit, action, or proceeding arising out
of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal
courts of the United States or the courts of the State of North Carolina, in each case located in
the City of Charlotte and County of Mecklenburg. You waive any and all objections to the
exercise of jurisdiction over you by such courts and to venue in such courts.
ARBITRATION
At FFTC's sole discretion, it may require you to submit any disputes arising from these Terms of
Use or use of the Website, including disputes arising from or concerning their interpretation,
violation, invalidity, non-performance, or termination, to final and binding arbitration under the
Rules of Arbitration of the American Arbitration Association applying North Carolina law.
FFTC'S OPTION TO LITIGATE
Alternatively, at FFTC's sole option, a claim (including claims for injunctive or other equitable
relief) may be adjudicated by a court of competent jurisdiction located in Mecklenburg County,
North Carolina.
NO CONSOLIDATION
Any claim shall be arbitrated or litigated, as the case may be, on an individual basis and shall
not be consolidated with any claim of any other party whether through class action proceedings,
class arbitration proceedings or otherwise.
LIMITATION ON TIME TO FILE CLAIMS
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO
THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR
AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR
CLAIM IS PERMANENTLY BARRED.
WAIVER AND SEVERABILITY
No waiver by FFTC of any term or condition set out in these Terms of Use shall be deemed a
further or continuing waiver of such term or condition or a waiver of any other term or condition,
and any failure of FFTC to assert a right or provision under these Terms of Use shall not
constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a
court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any
reason, such provision shall be eliminated or limited to the minimum extent such that the
remaining provisions of the Terms of Use will continue in full force and effect.
ENTIRE AGREEMENT
The Terms of Use, and our Privacy Policy, constitute the sole and entire agreement between
you and FFTC regarding the Website and supersede all prior and contemporaneous
understandings, agreements, representations, and warranties, both written and oral, regarding
the Website.
